Terms and Conditions

These terms describe the license, responsibilities, and purchase conditions for PMS Desk.

1. About PMS Desk

PMS Desk is a self-hosted project operations product offered under the PMS Desk brand. It connects project, work-item, people, time, testing, permission, and risk information. It is not accounting, contract management, CRM, ERP, or legal-compliance software.

2. Software license

A completed purchase grants the buyer a non-exclusive, non-transferable, perpetual license to run the purchased PMS Desk version for the buyer’s internal business use. The standard license supports up to 10 active team members. Resale, sublicensing, public redistribution, source-code extraction, and attempts to bypass license restrictions are prohibited except where applicable law does not allow such restrictions.

3. Updates and support

The purchase includes software updates released during the first year after purchase. The installed version may continue to be used after that period. Future update access or additional services may be offered separately. Unless expressly agreed in writing, the license does not include managed hosting, server administration, custom development, data migration, or guaranteed response times.

4. Self-hosting responsibilities

The buyer provides and secures the server, domain, TLS certificate, database, backups, network access, monitoring, and routine operations. The buyer is responsible for authorized user access and for complying with laws that apply to the data stored in its PMS Desk installation.

5. Orders, payment, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for our orders and handles payment, applicable sales tax or VAT, receipts, order-related inquiries, and returns. The checkout displays the final amount, including applicable tax, before payment. Paddle’s buyer terms and privacy notice also apply to the transaction.

6. Product delivery

Delivery instructions, deployment materials, or the next fulfilment step will be sent after Paddle confirms a completed transaction. Buyers must provide an accurate email address and should contact PMS Desk if delivery information is not received.

7. Acceptable use

The buyer must not use PMS Desk to violate law, infringe third-party rights, introduce malicious code, gain unauthorized access, or interfere with the product or related services. The buyer remains responsible for its users and business data.

8. Intellectual property

PMS Desk and its software, branding, documentation, and original materials remain the property of their respective owner. The purchase transfers a license to use the software, not ownership of the software or its intellectual property.

9. Warranties and liability

PMS Desk is provided with the features and limitations described on this website and in the applicable purchase materials. To the maximum extent permitted by law, implied warranties are excluded. Nothing in these terms limits rights or liability that cannot lawfully be limited. PMS Desk is not responsible for losses caused by the buyer’s hosting environment, unauthorized access, missing backups, unsupported modifications, or use outside the documented product scope.

10. Refunds and termination

Refunds are handled under the published Refund Policy and mandatory consumer law. If an order is refunded, the related right to use delivered materials may end. A material breach of these terms may also end the license after reasonable notice where required by law.

11. Changes

These terms may be updated for future purchases. The version presented at the time of purchase applies to that transaction unless applicable law requires otherwise.
